Should I set up a "limited company" or a "company limited by shares"?

Company limited by shares
- Requires at least one director and one supervisor (a supervisor can be omitted when there is only one corporate shareholder).
- Suits companies with many shareholders, unequal shareholdings, or investors already on board.
- Shares held by pure shareholders can be transferred freely without other shareholders' consent.
Limited company
- Suits teams of 1–3 founders with equal shares and no minority shareholders or outside investors, because every major change requires all shareholders' signatures.
- Simple rules, fast procedures, nationwide name protection, and shareholder liability limited to the capital contribution.
In practice, small teams usually start as a limited company and convert to a company limited by shares when investors come in and an amendment is needed anyway. We advise based on your shareholder structure and fundraising plans.
