What is the "Company Act Article 22-1" filing? What happens if I don't file?

Updated 2026-09-19

To support anti-money-laundering, Article 22-1 was added to the Company Act in 2018, requiring companies to report "responsible persons and major shareholders" on the Taiwan Depository & Clearing Corporation platform.

What to report: directors, supervisors, managers and shareholders holding more than 10%: name, nationality, date of birth, ID number, shareholding, etc. Platform: ctp.tdcc.com.tw.

When to report

  • Initial filing: within 15 days of incorporation. For companies we incorporate, we create the account and complete it for you.
  • Change filing: within 15 days of a change. We complete this for amendments we handle; if you file an amendment yourself, send us the details so we can help.
  • Annual filing: March 1–31 each year, confirming the previous year's data; companies in suspension must also file. For our bookkeeping clients we complete this proactively.

Penalties: failure to correct within the deadline is fined NT$50,000–500,000 the first time and NT$500,000–5,000,000 the second, with repeated fines until corrected; in serious cases company registration may be revoked.
