Chapter 4 Service Authorization and Electronic Documents
Article 17 (Seals, Certificates and Account Authorization)
- For company incorporation, bookkeeping and tax filing, or other services that legally require seals, you agree that the Firm may, on your instructions, help engrave or arrange company seals, responsible person seals, invoice stamps and receipt stamps.
- You authorize the Firm, to the extent necessary to provide services, to use seals, sign and deliver documents in your name, including applying, filing, submitting or processing with government agencies, banks, partner vendors or other third parties.
- You authorize the Firm, to the extent necessary, to use your business certificate for system authorization, sub-account creation, digital signatures and applications.
- To the extent necessary, you agree to authorize the Firm to use system permissions on third-party platforms, or to create sub-accounts on third-party platforms for the Firm's use.
- Seals affixed, signatures, certificate operations or document submissions completed under the above authorizations are deemed your own genuine expression of intent. You shall ensure the seals, certificates and data you provide are true and lawful, and shall not ask the Firm to do anything unlawful or infringing on third parties; you are solely responsible for disputes and damage arising from false data, improper use or exceeding the scope of authorization.
- You may withdraw the above authorization in writing or by email; actions the Firm completed under the authorization before withdrawal remain valid. The Firm may also refuse specific seal or certificate operations for security or legal reasons.
Article 18 (Electronic Documents and Electronic Signatures)
- Electronic documents generated, uploaded, transmitted or stored on the Platform (including PDFs, electronic forms, electronic contracts and online authorization records) whose form and content can be fully presented and verified have the same effect as paper documents.
- You agree that the electronic signing methods provided by the Platform (including account login, one-time passcodes, multi-factor authentication, click-to-confirm, electronic certificates or digital signatures approved by the competent authorities) are valid means of expressing intent, verifying identity and signing documents.
- Where laws or the competent authorities require paper, physical seals or handwritten signatures for specific documents, those rules prevail, and the Firm may ask you to complete them in the specified manner.
- You are responsible for misuse of electronic signatures caused by your failure to safeguard login credentials or verification tools.
Chapter 5 Bookkeeping Service Terms (apply when using bookkeeping services)
Article 19 (Scope of Engagement)
- You agree to engage the Firm to handle company tax filings, accounting and related consulting (the "Bookkeeping Service").
- The specific content, fees and items of the Bookkeeping Service are per the plan you select at application, the quotation, or the Platform's latest announcement; matters beyond the agreed scope are charged separately.
Article 20 (Term and Renewal)
- The engagement runs for one year from the date you start using the Bookkeeping Service.
- Unless either party gives written or email notice of non-renewal one month before expiry, the engagement automatically extends for another year, and so on thereafter.
Article 21 (Obligations of Both Parties)
- You shall provide the vouchers and data required for each period at least 10 days before the statutory filing deadline for VAT and corporate income tax, and cooperate in explaining related matters; you bear full responsibility for the truthfulness, completeness and legality of the vouchers you provide.
- The Firm handles the accounting and filings based on the vouchers and instructions you provide and the applicable regulations, with the care of a good administrator; if it discovers any violation of law, it will inform you promptly. Unless otherwise agreed, the Firm is not responsible for verifying your cash flows.
Article 22 (Fees)
- The Bookkeeping Service fee is calculated monthly; the payment cycle, amount and annual prepayment discount are per the quotation or service plan. You shall pay by cash, transfer or remittance to the Firm's designated account before the deadline the Firm specifies.
- The filing method (expanded review or audit) is decided by the Firm after discussing your business situation and risk with you.
- Service fees may be adjusted per the agreed standards as your business grows; the Firm will give 30 days' notice by email, messaging app or Platform announcement. If you disagree, you may terminate the service before the effective date; if you do not terminate, you are deemed to agree.
Article 23 (E-invoice Integration)
- By choosing the Bookkeeping Service, you authorize the Firm to download, query and compile your e-invoice input and output data for filing purposes.
- The Firm will do its best to ensure data completeness but does not guarantee the absence of omissions or errors; you remain responsible for final confirmation.
Article 24 (Damages)
- Penalties imposed by the competent authorities due to causes attributable to you (such as late or incomplete vouchers, or erroneous vouchers) are your responsibility.
- If you are fined due to the Firm's willful misconduct or negligence (such as calculation errors or omitted filings), the Firm is liable for compensation, capped at the total Bookkeeping Service fees actually collected from you by the Firm in that year.
Article 25 (Confidentiality)
- Both parties shall keep confidential the other party's confidential information learned through this engagement (including technology, know-how, business information, customer data and other non-public information of proprietary value), disclosing it only to employees or necessary parties to the extent needed to perform these Terms, and ensuring they are bound by the same obligation.
- Confidentiality does not apply to information that has become public, information the receiving party lawfully knew before disclosure, or disclosure required by a court or competent authority.
Article 26 (Termination and Return of Materials)
- Either party wishing to terminate the Bookkeeping Service shall notify the other in writing or electronically 10 days before the termination date.
- If you are one period late in paying fees, fail to provide vouchers on time, provide false data, or the Firm assesses that continued service is unsuitable, the Firm may terminate the engagement by notice.
- After termination, you shall collect your vouchers, ledgers and reports within 30 days or the period agreed by both parties; if not collected in time, the Firm is responsible for storage for only 2 months.
- Upon termination, you shall settle all fees payable and advances up to the termination date.
Chapter 6 E-invoice Service Terms (apply when using the e-invoice service)
Article 27 (Scope of Service)
You engage the Firm to help transmit e-invoice data via the internet to the Ministry of Finance E-invoice Integration Service Platform (the "MOF Platform") and to provide invoice issuance, voiding, allowance and number range management functions.
Article 28 (Upload Deadlines and Liability)
By regulation, B2C invoices must be uploaded to the MOF Platform within 48 hours of issuance and B2B invoices within 7 days. Liability for late or failed uploads is handled as follows:
- Where caused by MOF Platform maintenance, outages or interface updates, network service interruptions or other factors beyond the Firm's control, the Firm is not liable but will help troubleshoot and automatically re-upload once the system recovers.
- Where caused by user-side factors such as an expired or revoked business certificate, data errors, exhausted number ranges or misconfiguration, or data overwritten by using multiple value-added centers at once, you are responsible; the Firm may charge a technical handling fee to help resolve it.
- Where caused by the Firm's server failure or program error, the Firm will fix it immediately and help you explain to the tax authorities to reduce or waive penalties; the Firm's liability for that incident is capped at the total e-invoice service fees you paid the Firm in that year, excluding loss of business or goodwill.
Article 29 (Number Ranges and Certificate Management)
You shall apply to the National Taxation Bureau for e-invoice number ranges yourself and configure them correctly in the system; the Firm is not responsible if invoices cannot be issued because new number ranges were not applied for in time or the certificate has expired.
Article 30 (Data Retention and Backup)
The service retains invoice records for the statutory period; you should download backups regularly, and after termination the Firm may delete the data after a reasonable grace period.
Article 31 (System Maintenance)
Except for emergency fixes, the Firm will give 24 hours' notice of system maintenance by Platform announcement, email or messaging app; service suspension during the announced period is not considered a service failure.
Chapter 7 Miscellaneous
Article 32 (Notices and Contact)
- The Firm may notify you by website announcement, email, SMS or messaging app (such as LINE); legal documents will be sent by registered mail to the contact address you have on file.
- Notices take effect on delivery; notices received on a non-business day are deemed delivered on the next business day. If you change your contact details without informing the Firm and a notice cannot be delivered, it is deemed delivered when sent.
- The Firm's contact information: email service@hhtax.co; address No. 32, Sanrong 5th Rd., Wuri Dist., Taichung City 414; any changes will be announced on the Platform.
- The Firm may revise these Terms as business requires; revisions will be announced on the Platform or notified by email or messaging app, and continued use after the announcement or notice is deemed agreement to the revised content.
Article 33 (No Waiver)
The Firm's failure or delay in exercising any right under these Terms does not constitute a waiver of that right; any waiver of your breach must be in writing and does not constitute a waiver of subsequent identical or other breaches.
Article 34 (Governing Law and Jurisdiction)
These Terms are governed by the laws of the Republic of China (Taiwan); for disputes arising from these Terms, both parties agree that the Taiwan Taichung District Court shall be the court of first instance (unless mandatory legal provisions provide otherwise).
Article 35 (Acceptance)
By registering, logging in or using any service on the Platform, you are deemed to agree to these Terms; if you do not agree, please do not use the Platform or related services.
The Firm is a private organization providing company incorporation and tax services, not an official government website.
