Who can be the responsible person of a company? Are there eligibility requirements?

If you want to be the responsible person, check the following:

  • You must be at least 18 years old; minors who are married also qualify.
  • You cannot hold civil servant status.
  • You must not fall under any situation listed in Article 30 of the Company Act (for example, being under guardianship, or having been convicted of certain offenses where the sentence has not been completed or the required period since completion has not passed).
  • If you currently receive government subsidies or retirement benefits, confirm with the issuing agency whether serving as a responsible person affects your eligibility, so you are not asked to repay later.

If it is inconvenient for you to be listed, a relative or friend can serve instead. Note that the responsible person of a limited company must hold a capital contribution, while the chairperson of a company limited by shares does not necessarily need to hold shares.
